These Terms and Conditions ("Terms") govern your use of the Qalm Media website at qalmmedia.com ("the Site") and your engagement of services provided by Qalm Media ("we," "our," or "us"). By accessing the Site or submitting an inquiry, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms apply to website use and general inquiries. When you engage Qalm Media for a specific service (ghostwriting, editing, cover design, publishing, or related services), a separate Service Agreement will be provided that governs the specific terms of that engagement. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement takes precedence.
1. Use of the Website
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use of the Site. You agree not to:
- Use the Site for any fraudulent, deceptive, or harmful purpose
- Upload or transmit any content that is unlawful, defamatory, or infringes the intellectual property rights of any third party
- Attempt to gain unauthorized access to any part of the Site or its associated systems
- Use automated tools to scrape, crawl, or extract data from the Site without prior written permission
2. Intellectual Property
Site content
All content on the Site, including text, graphics, logos, images, and design elements, is the property of Qalm Media or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written permission.
Client work
The intellectual property rights in work produced by Qalm Media on your behalf - including ghostwritten manuscripts, edited manuscripts, cover designs, and formatted files - are governed by your individual Service Agreement. Under our standard Service Agreement, intellectual property in the commissioned work is assigned to you upon full payment of agreed fees. Nothing in these Terms transfers intellectual property rights in client work; such transfers are effected solely through the applicable Service Agreement.
Your submitted content
By submitting a manuscript, outline, or other creative content to us for evaluation or service delivery, you represent and warrant that you own or have the right to share that content. You grant Qalm Media a limited, non-exclusive license to access and review the submitted content solely for the purpose of providing the evaluation or services you have requested. We do not claim ownership of your submitted content.
3. Free Manuscript Evaluation
The free manuscript evaluation offered by Qalm Media is provided at no charge and with no obligation. The evaluation report is prepared based on the manuscript, outline, or concept submitted and reflects our professional assessment at the time of review. The evaluation is informational only and does not constitute a guarantee of commercial success, publication, or any particular outcome. Evaluation turnarounds are targeted within 24 to 48 business hours but may vary based on volume and submission complexity.
4. Services and Service Agreements
All paid services are subject to a separate, written Service Agreement that must be signed by both parties before work commences. The Service Agreement will specify the scope of work, deliverables, timeline, payment terms, revision rounds, and any other material terms. We do not begin paid work without a signed agreement and a confirmed deposit.
Revision rounds
Our standard Service Agreement includes a defined number of structured revision rounds per project stage. Revision rounds included in a project are specified in the relevant Service Agreement. Revisions required as a result of an error on Qalm Media's part do not count against included revision rounds. Revisions beyond the included rounds may be available at an additional cost, as specified in the Service Agreement.
Payment
Our standard payment structure is milestone-based, typically including a deposit to commence work followed by payments tied to specific deliverable approvals. All fees are fixed and specified in the Service Agreement. We do not charge royalty percentages or ongoing platform fees as part of our service fees. Publishing platforms (such as Amazon KDP and IngramSpark) have their own separate fees and deductions, which are not controlled by or paid to Qalm Media.
Royalties
Under our standard Service Agreement, all royalties from book sales are paid by publishing platforms directly to your publishing accounts. Qalm Media does not receive, collect, or take any percentage of royalties. Royalties paid by publishing platforms are subject to each platform's standard printing, retailer, tax, and distribution deductions, which vary by platform and are independent of Qalm Media's fees.
5. Rights and Ownership
Under our standard Service Agreement, the copyright in commissioned work is assigned to the client upon full payment of agreed project fees. Qalm Media retains no ownership stake, licensing rights, territorial rights, or reversion clauses over completed work, except as may be specifically agreed in writing. Individual Service Agreements govern the precise terms of intellectual property transfer and take precedence over any general statement on our website regarding rights.
6. Confidentiality
We treat all submitted manuscripts and project information as confidential. Our specific confidentiality commitments are described in our Confidentiality Policy. For paid engagements, confidentiality terms are also incorporated into the relevant Service Agreement.
7. Disclaimers
The Site and all content on it are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses. We do not guarantee that our services will result in any particular commercial outcome, sales performance, review volume, or publishing result.
Information on the Site regarding publishing platforms, royalty structures, and distribution channels reflects our understanding at the time of publication and is subject to change as platforms update their terms. We recommend verifying platform-specific information directly with the relevant platform before making decisions based on it.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Qalm Media shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site, your submission of materials to us, or any service engagement, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from a service engagement shall not exceed the fees paid by you for the specific service giving rise to the claim.
9. Content You Submit
You represent and warrant that any content you submit to us, including manuscripts, outlines, images, or other materials, does not infringe the rights of any third party and does not contain unlawful content. We reserve the right to decline to evaluate or work on any submission that we determine, in our sole discretion, contains content that is unlawful, infringes third-party rights, or falls outside the scope of services we offer.
10. Third-Party Links and Platforms
The Site may contain links to third-party websites or reference third-party platforms such as Amazon KDP, IngramSpark, and others. These links are provided for convenience only. We are not responsible for the content, accuracy, or practices of third-party sites and do not endorse them. Your use of third-party platforms is subject to their own terms of service.
11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page. Continued use of the Site after such changes constitutes your acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws applicable in Sindh, Pakistan, without regard to conflict-of-law principles. Subject to any mandatory consumer rights or jurisdiction that cannot lawfully be excluded, disputes arising from these website Terms are subject to the courts located in Karachi, Pakistan. Nothing in these Terms limits rights or remedies that applicable law does not permit us to exclude.
